These Terms of Use ("Terms") govern your access to and use of the website located at www.reuse-medical.com (the "Site") and any purchases made through the Site, operated by Reuse Medical Equipment ("Reuse Medical," "we," "us," or "our"), a company registered in the State of California with its principal place of business at 2537 E Hammond Ave, Fresno, CA 93703.

By accessing or using our Site, placing an order, or using any of our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our Site or services.

Use of This Website

You may use this Site for lawful purposes only and in a manner consistent with all applicable local, state, national, and international laws and regulations. You agree not to:

Product Listings & Accuracy

Reuse Medical sells pre-owned and used medical equipment and parts. We make every effort to accurately describe the condition, specifications, and characteristics of each item listed on the Site. However:

• Product descriptions, images, and condition grades are provided in good faith based on our inspection process and may not capture every detail of an item's condition
• Colours and appearances may vary slightly from images due to photographic conditions and screen calibration
• We reserve the right to correct any errors, inaccuracies, or omissions and to update information at any time without prior notice
• We reserve the right to limit quantities and to refuse or cancel any order we believe to be placed fraudulently or in violation of these Terms

Pricing & Payment

• All prices are listed in U.S. Dollars (USD) and are subject to change without notice.
• We accept major credit cards, ACH/wire transfer, and purchase orders from verified institutions. Payment terms for institutional purchasers are subject to separate agreement.
• For orders processed by credit card, your card will be charged at the time of order placement.
• International buyers are responsible for all applicable customs duties, import taxes, and fees in their destination country unless otherwise agreed in writing under DDP Incoterms.
• We reserve the right to cancel any order and issue a full refund in the event of a pricing error on the Site.

Orders & Contract Formation

Your order constitutes an offer to purchase. A contract between you and Reuse Medical is formed only when we send you an order confirmation email. We reserve the right to decline any order at our discretion, including where:

• A product is no longer available or has been mispriced
• We are unable to verify payment or billing information
• We have reasonable grounds to believe the order is fraudulent or in violation of these Terms

Returns, Refunds & Warranties

Our return and refund procedures are governed by our Return Policy, which is incorporated into these Terms by reference. All pre-owned medical equipment sold by Reuse Medical includes a minimum 30-day functional warranty from the date of delivery. The terms of this warranty are set out in the Return Policy.

To the maximum extent permitted by applicable law, warranties are limited to the express warranty described in the Return Policy. Reuse Medical does not make any representations or warranties, express or implied, beyond those expressly stated, including any implied warranties of merchantability or fitness for a particular purpose.

Limitation of Liability

To the fullest extent permitted by applicable law, Reuse Medical and its officers, directors, employees, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, data, goodwill, or business interruption — arising out of or in connection with your use of the Site or any products purchased through it, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these Terms or your purchase shall not exceed the total amount paid by you for the specific item(s) giving rise to the claim.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

Indemnification

You agree to indemnify, defend, and hold harmless Reuse Medical and its officers, directors, employees, agents, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site or products purchased through it.

Intellectual Property

All content on the Site — including text, graphics, logos, images, product descriptions, and software — is the property of Reuse Medical or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise use any content from the Site without our prior written permission.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Fresno County, California.

Before initiating any formal legal proceedings, you agree to contact us at info@reuse-medical.com to attempt to resolve the dispute informally. We will make reasonable efforts to resolve disputes within 30 days of being notified.

Third-Party Links & Services

The Site may contain links to third-party websites or services that are not owned or controlled by Reuse Medical. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites. We encourage you to review the terms and privacy policies of any third-party sites you visit.
